Overview

Provide legal services to meet the business needs and oversee the Corporate Compliance Program for GGW, BKB, GEC and any other affiliates of GGW.

Essential Duties and Responsibilities:

1. Provide legal counsel to the President & CEO, the Boards and the Senior Leadership Team with regard to all legal issues that arise, including with regard to GEC.
2. Negotiate real estate leases, renewals and letters of intent; manage lease files and renewal/expiration dates; respond to questions from other teams (including Finance and Facilities) regarding lease terms; partner with President & CEO, Chief of Expansion and VP of Retail and Donated Goods on expansion strategy and evaluation of sites.
3. Review, assist in negotiating and use contract management system to track all contracts with vendors, service providers, grantors and government agencies.
4. Lead compliance efforts for government contracts.
5. Represent the corporate entities in litigation or administrative proceedings or oversee attorneys who represent the corporate entities, including matters before EEOC, OSHA or state equivalents.
6. Respond to subpoenas and correspondence from government agencies and lawyers.
7. Oversee risk management program, including insurance renewals and insurance claims.
8. Manage the Corporate Compliance Program including review and amendment of compliance policies as necessary.
9. Provide leadership to the Boards and President & CEO on all governance matters.
10. Manage all corporate filings.
11. Form any required new entities, including preparation of articles of organization and bylaws.
12. Advise GEC on education law; oversee GEC compliance with authorizer requirements; and partner with President & CEO, Chief Integration Officer and others on GEC expansion efforts.
13. Stay informed of all relevant changes and proposed changes to laws and regulations and lead implementation of organizational changes required by such new laws or regulations.
14. Serve as a thought partner for the leadership team on business issues as the organization evolves to be more forward-looking, innovative and people-centric.

 

Supervisory Responsibility:

This position has no direct supervisory responsibility.

Qualifications

Required Qualifications:

1. JD degree from an accredited university.
2. License to practice law in the District of Columbia, Maryland and Virginia or willingness and ability to become licensed.
3. Familiarity with the business and mission of GGW.
4. A minimum of 10 years of experience practicing law with a law firm, corporate legal department or similar.
5 Excellent written and verbal communication skills
6 Ability to prioritize and complete a high volume of work
